The deal, written out in language you can check.

These terms govern your use of NicheScout. They are deliberately specific about the two things that usually go unsaid in a research tool: what you may do with the source content we retrieve, and how much of an AI-generated conclusion you should bet a company on.

01Clause

The agreement

By creating an account or using NicheScout, you agree to these terms. If you are agreeing on behalf of a company, you confirm you have authority to bind it, and “you” means that company.

You must be at least 16 years old and legally able to enter a contract. If you are subject to sanctions or located in an embargoed jurisdiction, you may not use the service.

Not yet appointed

This draft names no contracting entity, registered address, or governing jurisdiction. Those are load-bearing terms and must be settled by counsel before launch — see clause 15.

02Clause

What the service does

NicheScout retrieves publicly-posted content from sources you nominate — app store reviews, subreddits, review directories, product directories and freelance job boards — stores it, clusters it into scored signals using AI, links each signal back to the excerpts that support it, and generates product ideas and competitor entries from those signals.

What it is not: a scraper you point at arbitrary websites, a database of people, a lead-generation tool, or a way to contact reviewers.

03Clause

Accounts

  • You are responsible for what happens under your account, including anything a teammate you invite does.
  • Keep your credentials to yourself, and tell us promptly if you think they have been exposed.
  • One person, one account. Shared logins defeat our seat metering and our audit trail.
  • Give us an email address you actually read — password resets and billing failures go there.

04Clause

Plans, billing and cancellation

How billing works

Paid plans are subscriptions billed in advance through Stripe, monthly or annually, in US dollars. Your subscription renews automatically at the end of each period until you cancel. Prices exclude VAT, GST and sales tax, which Stripe adds where applicable.

Upgrading
Takes effect immediately. Stripe prorates the remainder of the current period.
Downgrading
Takes effect at the end of the current period. You keep your current limits until then.
Cancelling
One click in billing settings, any time. Your workspace drops to Free limits at the end of the paid period; nothing is deleted at the moment of cancellation.
Refunds
We refund the current period in full, on request, within 14 days of a charge, no questions asked. Beyond that, refunds are at our discretion. Statutory rights are unaffected.
Failed payments
Stripe retries. After the final retry your plan reverts to Free; your data stays and stays exportable.
Price changes
At least 30 days' notice by email. Changes apply from your next renewal, never mid-period.

Free plan accounts pay nothing and are owed nothing: we may change or withdraw the Free tier with 30 days’ notice.

05Clause

Plan limits and fair use

Every plan meters two things: how many trackers you may run and how often they refresh. Analysis runs are also metered. Hitting a limit never destroys anything — existing trackers keep polling and existing signals stay readable; you simply cannot arm new ones until you pause one or upgrade.

We reserve the right to throttle or contact you if usage on any plan is so far outside normal patterns that it threatens the service for others, or if it appears designed to resell our retrieval capacity.

06Clause

Acceptable use

You may not use NicheScout to:

  • Identify, contact, harass, dox or target any individual whose post we retrieved, or attempt to link a display name to a real-world identity.
  • Rebuild a public corpus: bulk-export retrieved source content in order to republish, resell, or seed another dataset or model.
  • Circumvent a source platform's terms, rate limits or technical restrictions, or ask us to point a tracker at a source that forbids automated retrieval.
  • Break the law, infringe intellectual property, or process special-category personal data deliberately.
  • Probe, scan, or overload our infrastructure other than under the disclosure policy on the security page.
  • Resell, sublicense or white-label the service without a written agreement with us.

Violations can result in immediate suspension. Where the violation creates ongoing risk to third parties, we may act without notice.

07Clause

Your content

Your workspaces, tracker configurations, notes and anything else you type stay yours. You grant us a limited, non-exclusive licence to host, process and display that content solely to operate the service for you, and to transmit it to the subprocessors listed in the privacy policy.

You may export your signals and evidence as CSV on the plans that include exports. On deletion, your content is removed on the schedule in clause 8 of the privacy policy.

08Clause

Retrieved source content

Reviews, threads and postings we retrieve belong to their authors and, in some respects, to the platforms that host them. Neither we nor you acquire ownership of them.

Within NicheScout you have a limited right to read that content, cite it internally, and quote short excerpts with attribution and a link, for the purpose of understanding a market. That is it. Specifically, you may not:

  • Republish retrieved content in bulk, in any medium, with or without attribution.
  • Sell, license or transfer a dataset derived from it.
  • Use it to train a machine learning model.
  • Strip attribution from an excerpt you do quote.

We remove content on request from its author, from every workspace it appears in — including yours — without asking your permission. See clause 10 of the privacy policy.

09Clause

AI output is evidence, not advice

Signals, scores, summaries, ideas and competitor entries are generated by large language models operating over retrieved text. They are probabilistic. Clusters can be wrong, a summary can misstate what a reviewer meant, a severity score is a heuristic and not a measurement, and a trend can be an artefact of when a tracker started polling.

Every signal links to the excerpts underneath it precisely so you can check it. Check it. NicheScout is a research instrument, not a source of business, legal, financial or investment advice, and nothing it outputs is a recommendation to build, buy, fund, or abandon anything.

10Clause

Availability and support

We aim for high availability but do not offer a contractual uptime commitment on any current plan. Retrieval also depends on third-party sources: if a platform changes its API, blocks retrieval, or goes down, affected trackers will fail, and we will surface the failure on the tracker rather than pretending the data is current.

11Clause

Suspension and termination

You may delete your account at any time. We may suspend or terminate an account that breaches clause 6, that fails to pay, or that we are legally required to act on. Except where the breach makes notice inappropriate, we will tell you why and give you a chance to fix it.

On termination you may export your data for 30 days, after which it is deleted on the schedule in the privacy policy. Clauses 8, 9, 12, 13 and 14 survive termination.

12Clause

Intellectual property

The software, interface, design system, scoring methodology, prompts and documentation are ours and are protected by copyright and other rights. These terms grant you a right to use the service, not a right to copy it.

Feedback you send us — bug reports, feature ideas — we may use freely and without obligation. Do not send us anything confidential as feedback.

13Clause

Disclaimers

To the maximum extent permitted by law, the service is provided “as is” and “as available”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty that retrieved content is complete, accurate, current, or representative of a market.

Nothing in these terms excludes liability that cannot lawfully be excluded, including for death or personal injury caused by negligence, or for fraud. Consumers keep their statutory rights.

14Clause

Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, goodwill or anticipated savings, however caused.

Our total aggregate liability arising out of or relating to the service is limited to the greater of (a) the fees you paid us in the twelve months before the event giving rise to the claim, and (b) one hundred US dollars.

You will indemnify us against third-party claims arising from your breach of clause 6 or clause 8 — in particular, from anything you do with retrieved source content outside the limited licence granted there.

15Clause

Changes, law and contact

We may amend these terms. Material changes are emailed to account holders at least 14 days before they take effect; continuing to use the service after that is acceptance. If you do not accept, cancel before the effective date and we will refund the unused portion of your current period.

To be settled by counsel

Governing law, jurisdiction, dispute resolution (including whether to require arbitration and whether to waive class actions), the consumer-versus-business split, and the contracting entity are all blank in this draft. They are not boilerplate and must not be copied from another company’s terms.
